Publication of the “Comprehensive Venture Capital Agreement Templates” for Association Members
The Comprehensive Venture Capital Agreement Templates have been developed and published through the collaboration of the Secretariat of the Iran Venture Capital Association and Pishgam Venture Instruments Development Company, with the aim of expanding legal and contractual knowledge and enhancing professional standards across the country’s investment ecosystem.
One of the key challenges facing venture capital practitioners is access to specialized agreement templates tailored to the specific structures and relationships of this field. Accordingly, this collection has been prepared based on practical experience and knowledge gained through real-world investment processes, providing a practical framework for professionals active in the sector. The publication is intended to facilitate access to commonly used contractual templates, contribute to higher professional standards, and strengthen the culture of sharing specialized knowledge within the innovation and investment ecosystem.
The “Comprehensive Venture Capital Agreement Templates” includes five widely used agreement templates: an Investment Agreement, an Equity Incentive Grant Agreement, a Convertible Agreement, a Non-Disclosure Agreement, and a Settlement Agreement. The Investment Agreement section also addresses key matters including investment mechanisms, shareholding structure, the rights and obligations of investors and entrepreneurs, access to information, equity incentives, intellectual property, and share vesting periods.
This document is made available to member companies as one of the Association’s specialized services and can serve as a useful starting point for drafting and reviewing investment agreements. However, as emphasized in the introduction to the document, these templates are intended as proposed frameworks, and the provisions of each agreement should be reviewed and adjusted according to the specific circumstances, subject matter, and requirements of the parties involved.
